Agreement for the IFKS

Chapter I. Name, Objectives, and Activities

Article 1. (Name)

This society is to be named International Friedrich Kuhlau Society (IFKS).

Article 2. (Objectives)

The objectives of IFKS are to study, introduce, and spread

(1) music and the life of a Danish composer Friedrich Daniel Rudolph Kuhlau

(2) culture of the first half of the 19th century/the golden age of Denmark and Northern Europe

Article 3. (Activities)

In order to achieve the objectives stated above, IFKS will:

(1) study, introduce, and spread Kuhlau's work and life, and also the culture of Denmark and Northern Europe

(2) perform the works of Kuhlau and other artists and composers of his time

(3) collect, manage, and make open to public the scores, writings, research works, etc. related to 3.1 and 3.2

(4) compile, write, produce, publish, and market the scores, writings, research works, etc. related to 3.1 and 3.2

(5) collect, record, compile, produce, and market music, etc. related to 3.1 and 3.2

(6) perform activities necessary to meet the objectives of the society

Chapter II Management Structure and Membership

Article 4. (Management)

IFKS is a non-for-profit organization and is governed by the following members.

Article 5. (Members)

Members are those who approve of the objectives stated in Article 2 and participate/cooperate in activities stated in Article 3.

Article 6. (Membership Fee)

Members will pay the annual fee specified in the separate detailed regulations

Article 7. (Member Privileges)

Members are allowed the following privileges in relation to the activities stated in Article 3:

(1) Reports of the activities of IFKS

(2) Notices, invitations, and discounts to seminars and lectures sponsored, jointly sponsored, or supported by IFKS

(3) Notices, invitations, and discounts to performances sponsored, jointly sponsored, or supported by IFKS

(4) Read the scores, writings, research works, etc. in the holdings of IFKS

(5) Purchase the publications etc. of IFKS at discounted price

(6) Participation in activities of IFKS

Article 8. (Special Members)

IFKS will recommend those who approve of objectives stated in Article 2 and participate/cooperate in activities stated in Article 3 as special members.

Article 9. (Membership Fee of Special Members)

Special members are not required to pay the membership fee.

Article 10. (Privileges of Special Members)

The privileges of special members apply in accordance with the terms specified in article 7, and will be determined with each activity

Article 11. (Supporting Member)

IFKS will recommend organizations and individuals who approve of objectives stated in Article 2 and donate contributions as supporting members.

Article 12. (Privileges of Supporting Members)

The privileges of supporting members apply in accordance with the terms specified in article 7, and will be determined with each activity by the amount of the contribution.

Chapter III Governing Board

Article 13. (Council)

To perform the objectives stated in Article 2, IFKS will organize a Council consisting of:

(1) a President

(2) a Chairman

(3) Director(s)

(4) Secretary(s)

Article 14. (Council - part 2)

In addition to those specified in Article 13, IFKS may appoint the following in the Council:

(1) an Honorary President

(2) Advisor(s)

Article 15. (Activities of the Council)

The activities of the council members are as follows:

(1) President - represents and presides over IFKS

(2) Chairman - presides, superintends, and manages the activities of IFKS as chief executive

(3) Director(s) - plan and execute the activities of IFKS

(4) Secretary(s) - observe the management and finance of IFKS

(5) Honorary officials - guide and advise the activities of IFKS in response to the consultation from the President and the Chairman

Article 16. (The Board of Directors)

The highest authority of IFKS shall be the Board of Directors, consisting of the Chairman and the Director(s). The Honorary Officials may be requested to attend.

Article 17. (Activities of the Board of Directors)

The Board of Directors will discuss and decide the followings:

(1) Amendments of the Agreement

(2) Activities and Budget

(3) Elections of the President, the Chairman, and the Director(s)

(4) Appointment of Secretary(s)

(5) Recommendation of Honorary Officials

(6) Recommendation of Special Members and Supporting Members

Article 18. (Summons of the Board of Directors)

The Boards of Directors will be summoned by the discretion of the Chairman. The Board of Directors may not necessarily gather for discussions and decisions but may be referred individually or by other means including telecommunication, etc.

Article 19. (Terms of Office)

The terms of office of all the officials will be 4 years, reappointment allowed.

Chapter IV Governing Board of IFKS

Article 20. (Office)

In order to execute the activities determined by the Board of Directors, an office of IFKS will be placed within Aoyama Flute Institute.

Chapter V Additional Clause

Article 21. (Date of Effectuation)

This agreement will take into effect on September 19, 1999.
